These Terms of Service (“Terms”) govern your access to and use of the website beplusthemes.com and any services provided by CONG TY TNHH GIAI PHAP VA CONG NGHE BEPLUS (“Beplus”, “we”, “us”, or “our”). By using the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site.
1. Services
Beplus provides web design and development services, including WordPress and Shopify development, and sells digital products such as themes and plugins. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal, quote, or written agreement (“Project Agreement”), which forms part of these Terms.
2. Quotes and payment
- Quotes are fixed-price based on the agreed scope and are valid for [30] days.
- Changes to scope are re-estimated and require approval before we proceed.
- Payment terms (deposits, milestones, due dates) are specified in each Project Agreement.
- Invoices are payable within [14] days unless otherwise agreed. Late payments may incur [interest/charges] and may pause work.
3. Client responsibilities
You agree to provide, in a timely manner, the content, access, materials, and feedback we need to deliver the work. Delays in providing these may affect timelines. You confirm you have the rights to any content or materials you supply.
4. Intellectual property
- On full payment, ownership of the custom deliverables created specifically for you transfers to you, except for any third-party components, open-source software, or pre-existing Beplus tools/frameworks, which remain subject to their own licences.
- Beplus retains ownership of its pre-existing know-how, frameworks, and reusable components.
- Unless you opt out in writing, we may display the completed work in our portfolio and reference you as a client.
5. Digital products (themes & plugins)
Products purchased from Beplus or via third-party marketplaces (e.g. ThemeForest) are licensed, not sold, under the applicable marketplace or product licence. Refunds for digital products follow the relevant marketplace’s policy or our stated policy at the point of sale.
6. Warranties and post-launch support
We provide [30] days of post-launch support for defects in our work after delivery. Beyond that, support and maintenance are available under a separate retainer. Except as expressly stated, services and products are provided “as is” without further warranties.
7. Limitation of liability
To the maximum extent permitted by law, Beplus is not liable for indirect, incidental, or consequential damages, or loss of profits, data, or business. Our total liability for any claim is limited to the amount you paid us for the specific engagement giving rise to the claim.
8. Confidentiality
Each party agrees to keep the other’s confidential information private and to use it only for the purpose of the engagement.
9. Termination
Either party may terminate an engagement as set out in the Project Agreement. On termination, you agree to pay for all work completed up to the termination date.
10. Third-party services
Our work may rely on third-party platforms and services (e.g. WordPress, Shopify, hosting, plugins). We are not responsible for the availability, performance, or terms of those third parties.
11. Governing law
These Terms are governed by the laws of Vietnam, and any disputes are subject to the [courts/arbitration] of Da Nang, Vietnam.
12. Changes to these Terms
We may update these Terms from time to time. Continued use of the Site or our services after changes constitutes acceptance.
